AVISO AOS ACIONISTAS

A Vulcabras S.A. (VULC3, “Vulcabras” ou “Companhia”), vem informar aos seus acionistas e ao mercado em geral que o Conselho de Administração da Companhia, em reunião realizada nesta data, aprovou o pagamento aos acionistas de dividendos intercalares com base no saldo de lucros acumulados apurado em balanço com data-base de 30 de setembro de 2022, no montante total de R$ 90.929.810,28 (noventa milhões, novecentos e vinte e nove mil, oitocentos e dez reais e vinte e oito centavos), nos seguintes termos (“Dividendos Intercalares”):

(i)o pagamento dos Dividendos Intercalares terá como beneficiários os acionistas que estiverem inscritos nos registros da Companhia na data de 10 de novembro de 2022, consideradas as negociações realizadas até esta data, inclusive, e serão pagos em 22 de novembro de 2022. As ações de emissão da Companhia passarão a ser negociadas ex-Dividendos Intercalares a partir de 11 de novembro de 2022, inclusive;

(ii)considerando as ações em circulação da Companhia existentes nesta data, o valor de Dividendos Intercalares a ser pago é de R$ 0,37 (trinta e sete centavos) por ação da Companhia, a serem creditados na conta bancária fornecida pelo acionista ao Banco Bradesco S.A., instituição responsável pela escrituração das ações da Companhia;

(iii)os pagamentos relativos às ações da Companhia depositadas em instituições prestadoras dos serviços de custódia serão creditados conforme procedimentos adotados pelas instituições depositárias;

(iv)o valor por ação dos dividendos poderá ser ajustado em razão do programa de recompra de ações da Companhia.

NOTICE TO SHAREHOLDERS

A Vulcabras S.A. (VULC3, “Vulcabras” or “Company”), informs its shareholders and the market in general that the Company’s Board of Directors, at a meeting held on this date, approved the payment to shareholders of interim dividends based on the balance of retained earnings in the balance sheet as at September 30, 2022, in the total amount of R$ 90,929,810.28 (ninety million, nine hundred and twenty nine thousand, eight hundred and ten reais and twenty-eight cents), in the following terms (“Interim Dividends”):

(v)the beneficiaries of payment of the Interim Dividends will be the shareholders registered in Company’s records on November 10, 2022, considering the negotiations carried out up to and including this date, and the dividends will be paid on November 22, 2022. The shares issued by the Company will be traded ex-Interim Dividends from and including November 11, 2022;

(vi)considering the Company’s outstanding shares existing on this date, the amount of Interim Dividends to be paid is R$ 0.37 (thirty-seven cents) per share, to be credited to the bank account provided by the shareholder to Banco Bradesco S.A. , the institution responsible for the bookkeeping of the Company’s shares;

(vii) payments related to the Company’s shares deposited in institutions providing custody services will be credited in accordance with the procedures adopted by the depositary institutions;

(viii) the value per share of dividends may be adjusted due to the Company’s share repurchase program.
