Aviso aos Acionistas
Pagamento de Juros sobre Capital

A CIELO S.A. (“Companhia”) (B3: CIEL3 / OTC Nasdaq Internacional: CIOXY) comunica aos Senhores Acionistas, ao mercado em geral e aos demais interessados que o Conselho de Administração da Companhia, durante reunião realizada em 20 de junho de 2018 aprovou a distribuição de Juros Sobre Capital Próprio (“JSCP”) com base no resultado do 1º semestre de 2018.

Os JSCP serão distribuídos no montante total de R$ 312.500.000,00 (trezentos e doze milhões e quinhentos mil reais), sendo o valor por ação de R$ 0,115127788, sujeitos à retenção de impostos aplicáveis a cada caso, os quais serão distribuídos e pagos aos acionistas nas proporções de suas participações no capital social da Companhia, sendo que não farão jus aos JSCP as ações mantidas em tesouraria. Ainda, referidos JCP serão imputados ao dividendo mínimo obrigatório referente ao exercício social findo em 31 de dezembro de 2018.

O referido valor a ser pago por ação é estimado e poderá sofrer alterações em razão de negociações com ações em tesouraria pela Companhia, incluindo alienações para o cumprimento do programa de opções e ações restritas da Companhia.

Os JSCP líquidos de imposto de renda serão pagos aos acionistas no dia 28 de setembro de 2018, com base na posição acionária de 29 de junho de 2018 sendo as ações da Companhia negociadas “ex direitos” a partir de 02 de julho de 2018, inclusive. O pagamento ocorrerá por meio da instituição depositária das ações – Banco Bradesco S.A. (“Banco Bradesco”), mediante crédito automático para acionistas correntistas e acionistas que já tenham informado ao Banco Bradesco o número de seu CPF ou CNPJ e a respectiva conta bancária. Os acionistas que não tenham feito essa indicação deverão se dirigir a uma Agência Bradesco para atualização dos dados cadastrais. Informamos que os acionistas detentores de ações custodiadas B3 S.A. - Brasil, Bolsa, Balcão, receberão os JSCP por intermédio de seus agentes de custódia e os acionistas detentores de ADRs (American Depositary Receipts) receberão os JSCP por meio do Deutsche Bank Trust Company Americas, instituição depositária contratada.

Notice to Shareholders
Payment of Interest on Equity

CIELO S.A. (“Company”) (B3: CIEL3 / OTC Nasdaq International: CIOXY) hereby informs its shareholders, the market in general and other stakeholders that the Company’s Board of Directors during a meeting held on June 20, 2018, approved the distribution of Interest on Equity (“JSCP”) based on its 2018 first-half results.

The interest on equity will be distributed at the total amount of three hundred, twelve million and five hundred thousand Reais (R$312,500,000.00), and the amount per share of R$ 0.115127788 subject to the withholding tax applicable to each case, which will be distributed and paid to shareholders proportionally to their interest in the Company’s capital stock, with shares held in treasury not eligible to interest on equity. Also referred JSCP will be imputed to the minimum mandatory dividend for the fiscal year to end on December 31, 2018.

The referred amount payable per share is estimated and may suffer changes in view of treasury shares traded by the Company, including disposals in order to comply with the Company’s stock option and restricted stock program.

The interest on equity, net of income tax will be paid to shareholders on September 28, 2018, based on the shareholding position of June 29, 2018, with the Company’s shares trading “ex-rights” as of July 2, 2018, inclusive. Payment will be made through the shares depositary institution– Banco Bradesco S.A. (“Banco Bradesco”) by means of automatic credit to shareholders who are accountholders and shareholders who have already informed their Individual Taxpayer’s Register number (CPF) or Corporate Taxpayer’s ID (CNPJ) number, and respective bank account, to Banco Bradesco. Shareholders who have not yet provided this information should go to a Bradesco Branch in order to update their registration data. Please be advised that the shareholders whose shares are held in custody on B3 S.A. - Brazil, Stock Exchange, OTC, will receive the JSCP through their custody agents and holders of American Depositary Receipts (ADRs) will receive through Deutsche Bank Trust Company Americas, the depositary institution contracted.
