Pagamento de dividendos

A ANIMA HOLDING S.A. (“Ânima Educação”), em atendimento ao disposto na Lei nº 6.404/76 (Lei das S.A.), Resolução CVM n° 44, de 23/08/2021, e no Regulamento do Novo Mercado, comunica a seus acionistas e ao mercado em geral foi aprovada, em Assembleia Geral Ordinária realizada em 24 de abril de 2026, a distribuição de dividendos relativos ao exercício social de 2025, no valor total de R$ 29.391.752,41 (vinte e nove milhões, trezentos e noventa e um mil, setecentos e cinquenta e dois reais e quarenta e um centavos), correspondentes a 0,07778472573 por ação, calculado conforme posição acionária da data de corte. O pagamento dos dividendos será realizado em 15 de maio de 2026, sem correção monetária. A tributação incidirá na forma da lei. De acordo com a legislação vigente, farão jus aos dividendos os acionistas da Companhia titulares de ações em 24 de abril de 2026 (“data de corte”). Desse modo, a partir de 25 de abril de 2026 (inclusive), as ações da Companhia passam a ser negociadas “ex-dividendos”.

NOTICE TO SHAREHOLDERS
Payment of dividends

ANIMA HOLDING S.A. ("Ânima Educação"), in compliance with the provisions of Law No. 6,404/76, CVM Resolution No. 44, of 08/23/2021, and in the Novo Mercado Regulation, hereby informs its shareholders and the market in general that was approved in Company’s Annual Shareholders Meeting held on April 24, 2026, the distribution of dividends relatinged to the 2025 fiscal year, in the total amount of R$ 29.391.752,41 (twenty-nine million, three hundred and ninety-one thousand, seven hundred and fifty-two reais and forty-one cents), corresponding to R$ 0,07778472573 per share, calculated according to shareholding position on the cut-off date. Payment of the aforementioned dividends will be made on May 15, 2026, with no monetary adjustment. Taxation will be applied as provided by law. According to current legislation, the Company's shareholders holding shares on April 24, 2026 (“cut-off date”) will be entitled to dividends. Therefore, from April 25, 2025 (inclusive), the Company's shares will be traded “ex-dividends”.
