AVISO AOS ACIONISTAS

Distribuição de Dividendos

A São Carlos Empreendimentos e Participações S.A. (“São Carlos” ou “Companhia”, B3: SCAR3), comunica aos seus acionistas que foi aprovada, em Assembleia Geral Ordinária realizada nesta data, a distribuição de dividendos no montante de R$ 8.184.432,62 (oito milhões, cento e oitenta e quatro mil, quatrocentos e trinta e dois reais e sessenta e dois centavos), ou R$ 0,14376472 por ação. A distribuição se refere aos dividendos obrigatórios calculados a partir do lucro líquido apurado pela Companhia no exercício de 2021.

Terão direito aos proventos os titulares de ações de emissão da Companhia em 2 de maio de 2022, sendo as ações negociadas ex-dividendos a partir de 3 de maio de 2022. O pagamento dos proventos será realizado no dia 31 de maio de 2022, sem incidência de atualização monetária e juros.

NOTICE TO SHAREHOLDERS

Distribution of Dividends

São Carlos Empreendimentos e Participações S.A. ("São Carlos” or “Companhia", B3: SCAR3), hereby informs its shareholders the approval by the Annual General Meeting held on this date of the distribution of dividends in the amount R$ 8,184,432.62 (eight million, one hundred and eighty-four thousand, four hundred and thirty-two reais and sixty-two cents), or R$ 0.14376472 per share. The distribution refers to the mandatory dividends calculated from the net income calculated by the Company for the year 2021.

Holders of shares issued by the Company on May 2, 2022 will be entitled to the benefits, and the shares will be traded ex-dividend as of May 3, 2022. Payment will be made on May 31, 2022, without monetary correction and interest.
