AVISO AOS ACIONISTAS
Declaração e pagamento de Juros sobre o Capital Próprio

Comunicamos aos Senhores Acionistas e ao mercado em geral que o Conselho de Administração da Getnet Adquirência e Serviços para Meios de Pagamento S.A. (“Companhia”), em reunião realizada nesta data, aprovou a proposta da Diretoria Executiva, ad referendum da Assembleia Geral Ordinária a ser realizada em 2022, de distribuição de Juros sobre o Capital Próprio da Companhia, nos termos dos artigos 19, inciso XVIII e 36, incisos I e III do Estatuto Social da Companhia, no montante bruto de R$ 298.000.000,00 (duzentos e noventa e oito milhões de reais), que, após deduzido o valor relativo ao Imposto de Renda Retido na Fonte (“IRRF”), na forma da legislação em vigor, importam o valor líquido de R$ 253.000.000,00 (duzentos e cinquenta e três milhões de reais), com exceção dos acionistas imunes e/ou isentos.

(*) 1 (uma) Unit corresponde a 1 (uma) ação ordinária e 1 (uma) ação preferencial.

Farão jus aos Juros sobre o Capital Próprio, ora aprovados, os acionistas que se encontrarem inscritos nos registros da Companhia no final do dia 20 de janeiro de 2022 (inclusive). Dessa forma, a partir de 21 de janeiro de 2022 (inclusive), as ações da Companhia serão negociadas “Ex-Juros Sobre Capital Próprio”.

Os Juros sobre o Capital Próprio aprovados serão pagos a partir do dia 18 de fevereiro de 2022, e imputados integralmente aos dividendos obrigatórios a serem distribuídos pela Companhia referentes aos exercícios de 2016, 2019 e 2021, sem nenhuma remuneração a título de atualização monetária.

Para os American Depositary Receipts (ADRs) negociados na Bolsa de Valores de Nova York - NYSE o pagamento se dará através do The Bank of New York Mellon, banco depositário dos ADRs.

NOTICE TO SHAREHOLDERS
Declaration and payment of Interest on Own Capital

We hereby inform the Shareholders and the general market that the Board of Directors of Getnet Adquirência e Serviços para Meios de Pagamento S.A. (“Company”), at the meeting held on the present date, approved the Board of Executive Officers’ proposal, ad referendum of the General Annual Meeting to be held on 2022, for the distribution of Interest on Own Capital, pursuant to Articles 19, item XVIII, and 36 itens I and II of the Company's Bylaws, in the gross amount of R$ 298,000,000.00 (two hundred, ninety eight millions reais), which, after the deduction of the amount related to the Income Tax Withheld at Source (“IRRF”), pursuant to the laws in force, result the net amount corresponding to R$ R$ 253,000,000.00 (two hundred, fifty three million reais), except for immune and/or exempt shareholders:

(*) One (1) Unit is comprised of 1 (one) Common Share and 1 (one) Preferred Share

The shareholders entitled for the Interest on Own Capital approved will be the ones registered in the Company’s books at the end of January 20^th, 2022 (including). Therefore, as of January 21^st, 2022 (including) the Company’s shares shall be traded “Ex-Interest on Own Capital”.

The Interest on Own Capital approved will be paid as of February 18^th, 2022 and fully related to the amounts calculated in fiscal years 2016, 2019 and 2021, without any compensation as monetary indexation.

Regarding holders of the Company’s American Depositary Receipts (ADRs) traded in the New York Stock Exchange – NYSE, the payment will be carried out by The Bank of New York Mellon, depositary bank of the ADRs.
