AVISO AOS ACIONISTAS

YDUQS PARTICIPAÇÕES S.A. (“Companhia”) comunica aos acionistas e ao mercado em geral que, em Assembleia Geral Ordinária da Companhia realizada no dia 26 de abril de 2024, dentre outras matérias, foi declarada a distribuição e aprovado o pagamento de dividendos montante total de R$ 160.000.000,00 (cento e sessenta milhões de reais) para os acionistas da Companhia, dos quais R$ 80.000.000,00 (oitenta milhões de reais) já foram declarados e pagos antecipadamente aos acionistas da Companhia em 05 de dezembro de 2023, conforme aprovado pelo Conselho de Administração em reunião realizada no dia 09 de agosto de 2023. O montante restante de R$ 80.000.000,00 (oitenta milhões de reais), referente aos dividendos ora declarados será pago àqueles que forem acionistas da Companhia no encerramento do pregão da B3 nesta data (data-base). Excluindo-se o montante de R$80.000.000,00 (oitenta milhões de reais) que foram pagos à título de dividendos antecipados, o montante de R$80.000.000,00 (oitenta milhões de reais), a serem pagos à título de dividendo adicional, correspondem a R$0,2745 por ação ordinária, já desconsiderando as ações mantidas em tesouraria na data de hoje, nos termos da Lei n.º 6.404, de 15 de dezembro de 1976, conforme alterada, e do artigo 31, alínea “c” do Estatuto Social da Companhia.

Terão direito ao dividendo declarado as pessoas inscritas como acionistas da Companhia na data-base de 26 de abril de 2024, respeitadas as negociações realizadas até essa data, inclusive.

As ações da Companhia serão negociadas ex-dividendos a partir de 29 de abril de 2024, inclusive.
3.
O pagamento dos dividendos será realizado em moeda corrente nacional até o final do exercício social de 2024, de acordo com forma e data a serem fixadas pela Diretoria.
4.
Não haverá atualização monetária ou incidência de juros entre a data da declaração dos dividendos e a data do efetivo pagamento.
5.
Na data do pagamento dos dividendos, a Companhia creditará o dividendo devido a cada acionista, segundo o número de ações ordinárias de sua titularidade na data-base de 26 de abril de 2024, de acordo com o domicílio bancário fornecido à Itaú Corretora de Valores S.A., instituição responsável pela escrituração das ações da Companhia (“Escriturador”).

Para os acionistas cujo cadastro não contenha a inscrição do número do CPF/CNPJ ou a indicação de “Banco/Agência/Conta Corrente”, os dividendos somente serão creditados depois da atualização cadastral nos arquivos eletrônicos do Escriturador, nos prazos por ele determinados.
7.
Os acionistas cujas ações estão depositadas em instituições prestadoras dos serviços de custódia de valores mobiliários terão seus dividendos creditados conforme procedimentos adotados pelas instituições depositárias.
8.
O recebimento do dividendo será isento de Imposto de Renda, de acordo com o artigo 10 da Lei n.º 9.249, de 1995.

NOTICE TO SHAREHOLDERS

YDUQS PARTICIPAÇÕES S.A. (the "Company") hereby informs its shareholders and the market in general that, at the Company's Annual Shareholders' Meeting held on April 26, 2024, among other matters, the shareholders declared the distribution and the payment of dividends at the total amount of one hundred and sixty million reais (BRL 160,000,000.00) for the Company's shareholders, of which eighty million reais (BRL 80,000,000.00) have already been declared and paid in advance to the Company's shareholders on December 5, 2023, as approved by the Board of Directors at a meeting held on August 9, 2023. The remaining amount of eighty million reais (BRL 80,000,000.00), referring to the dividends declared herein, will be paid to those who are the Company's shareholders at the end of the B3 trading session on this date (base date), subject to the negotiations held until, and including, this date. Excluding the eighty million reais (BRL 80,000,000.00) paid as advance dividends, the amount of eighty million reais (BRL 80,000,000.00), to be paid as additional dividends, corresponds to BRL 0.2745 per common share, already disregarding the shares held in treasury on today's date, in accordance with Law No. 6.404 of December 15, 1976, as amended, and Article 31, item "c" of the Company's Articles of Incorporation.

People registered as the Company's shareholders on the base date of April 26, 2024, will be entitled to the declared dividends, subject to the negotiations held up to, and including, that date.
2.
The Company's shares will be traded ex-dividend from, and including, April 29, 2024.
3.
Dividends will be paid in Brazilian currency until the end of the 2024 fiscal year in accordance with the form and date to be established by the Executive Board.
4.
No adjustment for inflation or interest accrual will occur between the date of dividend declaration and the date of actual payment.
5.
On the dividend payment date, the Company will credit the dividend due to each shareholder, according to the number of common shares held by them on the base date of April 26, 2024, according to the banking address provided to Itaú Corretora de Valores S.A., the institution responsible for bookkeeping the Company's shares ("Bookkeeper").
6.
Shareholders whose registration does not contain a CPF/CNPJ enrollment number, or a "Bank/Branch/Checking Account" number will receive dividends only after the relevant registration update in the electronic files of the Bookkeeper within the deadlines determined by it.
7.
Shareholders whose shares are deposited in institutions providing securities custody services will have their dividends credited in accordance with the procedures adopted by the depository institutions.
8.
The dividends will be exempt from Income Tax, in accordance with Article 10 of Law No. 9.249 of 1995.
