AVISO AOS ACIONISTAS
PAGAMENTO DE DIVIDENDOS

Comunicamos aos senhores acionistas que o Conselho de Administração da Cia. Hering (“Companhia”), em reunião realizada em 31/07/2019, aprovou, ad referendum da Assembleia Geral Ordinária, a distribuição de dividendos, no montante de R$ 49.992.121,14 (quarenta e nove milhões, novecentos e noventa e dois mil, cento e vinte e um reais e quatorze centavos), equivalente ao valor de R$ 0,3088 por ação. O pagamento dos dividendos será realizado aos acionistas na data de 05/09/2019, utilizando como base de cálculo a posição acionária de 07/08/2019, excetuando-se as ações em tesouraria. As ações da Companhia serão negociadas na condição “ex” dividendos, a partir de 08/08/2019. Para o referido pagamento, a Companhia utilizará parte de sua Reserva de Subvenção de Incentivos Fiscais, observando as determinações legais.

Os dividendos serão pagos através da Instituição Depositária das ações de emissão da Companhia – Banco Itaú S.A., mediante o crédito automático para aqueles acionistas que já tenham informado ao Banco Itaú o número do seu CPF/CNPJ e a respectiva conta bancária. Para os acionistas que não tenham feito essa indicação, o Banco Itaú remeterá o respectivo aviso de pagamento, que deverá ser apresentado em uma de suas agências, junto com as informações referentes ao assunto, para processamento do respectivo crédito, a partir do 3° dia útil após a atualização dos dados cadastrais. Aos acionistas que tiverem as ações depositadas na B3, os dividendos serão pagos por intermédio dos seus agentes de custódia.

NOTICE TO SHAREHOLDERS
PAYMENT OF DIVIDENDS

Shareholders are hereby advised that the Board of Directors of Cia. Hering (the “Company”), at a meeting held on July 31^st, 2019, has approved the distribution, subject to ratification by the Annual Shareholders’ Meeting, of dividends in the amount of forty-nine million nine hundred and ninety-two thousand one hundred and twenty-one Reais and fourteen cents (R$49,992,121.14), corresponding to an amount of R$0.3088 per share. The payment of such dividends to shareholders shall be made on September 5^th, 2019, using as a base date for calculation the shareholding position as of August 7^th, 2019, except for treasury shares. The shares in the Company shall be traded “ex-dividends” beginning on August 8^th, 2019. For such payment, the Company shall use a portion of its Tax Incentive Reserve, subject to the legal provisions.

The dividends shall be paid through Banco Itaú S.A., Depositary of the shares issued by the Company, by automatic credit to those shareholders who have already informed Banco Itaú of their Individual Taxpayers Register (CPF)/National Corporate Taxpayers Register (CNPJ) number and of their respective bank account. For those shareholders that have not provided such information, Banco Itaú shall send the respective payment notice, which must be presented at any of its branches, together with the information relating to the matter, for the processing of the respective credit, on or after the 3rd business day following the updating of the master data. For shareholders whose shares are deposited with B3, the dividends shall be paid through their custodians.
